Disclaimers:

By signing up to be an affiliate in the Liquid Intelligence Ltd. also known as ‘aēlo’ Affiliate Program (also referred to as the ‘program’) you agree to be bound by the following terms and conditions in this contract.

Any violation of these Terms may result in termination or suspension of your rights to be an Affiliate and forfeiture of any outstanding affiliate referral fee payments earned during the violation.

To be part of this program:

- You must be 18 years of age or older to join this Program.

- Each account is for use by either a single legal entity, an individual user. We do not permit you to share your user name and password with any other person nor with multiple users on a network. Responsibility for the security of any usernames and passwords issued (including those of any Invitees) rests with you.

Program usage:

- You may not use the Program for any illegal or unauthorized purpose. 

- You must not, in the use of the Program, violate any laws in your jurisdiction (including but not limited to copyright laws). 

- You may not use our name or graphics in any bulk email whatsoever unless we have given our advanced written consent. We may terminate the Agreement if any meaningful spam complaints naming us or our services result from your marketing activities.

- You may not issue any press release with respect to this Agreement or your participation in the Program.

Relationship of parties:

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Agreement.

Referral fees:

- We will only pay referral fees on links that are automatically tracked and reported by our systems. For our systems to track the referral, the visitor must have cookies enabled. We will not pay referral fees if someone says they signed up through you but it was not tracked by our system.

- Customer payments refunded or payments charged-back due to credit card fraud do not qualify for referral fees. We may delay crediting of referral fees subject to risk analysis considerations and Anti-Money Laundering procedures.

- A summary of sign ups and statement of referral fees is available to the Affiliate by logging into their Affiliate account.

- We reserve the right to disqualify referral fees earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

Payment:

- aēlo will send the payout amount on the first of the month or next business day of each month via email.

- Payouts will be made by aēlo within 30 days of the invoice being received by the affiliate  of said amount.

- For pay outs the affiliate can then invoice aēlo for a monetary payout (aēlo will send via cheque or transfer) for the amount or aēlo can send a gift card to a specific store for the monetary amount or aēlo can give product at retail value for the monetary amount. We cannot combine the three options.

- In the rare case an order is canceled on the last day of the month and it doesn’t trigger in the system by the 1st of the month we will credit that refund to the next month's pay out.

- This program is valid from January 1st 2023 to April 1st 2023.

- There is a 7 day attribution window for a sale when links and codes are shared.

- Pay outs cap after $10,000 CAD worth of orders from a specific affiliate come in during a month period. Once the affiliate reaches over $10,000 CAD worth of orders in any given month the affiliate will receive pay out for the $10,000 CAD worth of orders as outlined. But for no other orders that come in after that $10,000 CAD threshold is hit.

Termination:

- aēlo reserves the right to terminate at any time for any reason and affiliate will be notified via email.

- The referral fee structure is subject to change at our discretion.

- We reserve the right to disqualify referral fees earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

Notes:

- If order is processed and tracking number is created the order cannot be returned, refunded or canceled.
